1. Acceptance of Terms

By accessing the Site or using any of our Services, you represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you have the legal capacity and authority to enter into this agreement on behalf of yourself or your organization; (c) your use of the Services complies with all applicable laws and regulations; and (d) all information you provide to us is accurate, current, and complete.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, 'you' and 'your' refer to that entity.

2. Definitions

The following capitalized terms have the meanings assigned below:

'Agreement' means these Terms and Conditions, together with any applicable Order Form, Service Schedule, Addendum, or other written agreement between the parties.
'Carefree Computing' means Carefree Computing, a division of Aivorys LLC, operating across carefreecomputing.com and carefreecomputing.cloud. Both domains are divisions of Aivorys LLC and are treated as a single contracting entity for all purposes under this Agreement. References to 'Carefree Computing' include Aivorys LLC and its principals, employees, contractors, and affiliates.
'Client' or 'Customer' means the individual, company, or organization that enters into an agreement with Carefree Computing for the use of Services.
'Services' means all managed IT infrastructure, cloud services, security services, collaboration tools, AI services, search services, chatbot services, web design services, and any other products or services offered by Carefree Computing.
'Platform' means the collection of technologies, software tools, and infrastructure components used to deliver the Services, including RustDesk, Wazuh, Nextcloud, Open WebUI, SearxNG, and related systems.
'Subscription' means a recurring service plan as described in our pricing schedule.
'Setup Fee' means the one-time, non-refundable fee charged to initiate and deploy a new service environment.
'User' means any individual authorized by the Client to access or use the Services under the Client's account.
'Client Data' means all data, content, and information submitted by or on behalf of the Client through the Services.
'Confidential Information' means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature and circumstances of disclosure.
'PHI' means Protected Health Information as defined under HIPAA.
'Order Form' means any written service order, proposal, or service schedule agreed between Carefree Computing and the Client specifying the applicable Services, fees, and terms.

3. Description of Services

Carefree Computing provides managed technology infrastructure, private cloud, and AI automation services tailored for small and medium-sized businesses. Our current service offerings include:

3.1 Remote IT Management (RustDesk)

Private, self-hosted remote desktop and device management infrastructure. Clients may remotely access and manage internal and external devices, clients, and vendors, with device capacity scaling based on the selected subscription tier.

3.2 Real-Time Security Monitoring (Wazuh)

Continuous endpoint and network security monitoring, threat detection, alert management, and automated response capabilities powered by a private Wazuh deployment. Coverage and automation levels vary by subscription tier.

3.3 Nextcloud CRM and Collaboration

A private, self-hosted Nextcloud environment providing contact management, CRM functionality, file storage, project management, team collaboration, and (in the Enterprise tier) video conferencing via Nextcloud Talk.

3.4 Private AI Assistant (Open WebUI)

A privately deployed AI assistant for business operations, content drafting, communications, and internal automation, powered by Open WebUI. Access hours and usage levels are determined by the selected subscription tier.

3.5 SearxNG Private Search

Ad-free, tracking-free private search powered by SearxNG, aggregating results from over 220 sources. Shared or dedicated server configurations available depending on subscription tier.

3.6 Multilingual Chatbot and AI Automation

AI-powered chatbot solutions integrated with websites and messaging platforms providing 24/7 multilingual customer interaction, lead capture, lead qualification, and automated follow-up workflows. The number of supported languages varies by subscription tier.

3.7 Custom Web Design

Website design and development services. The scope of pages, features, and customization varies by subscription tier. Enterprise clients receive fully customizable websites with SEO support.

3.8 Accounting and Backup Services

Bonus accounting software access and offsite encrypted backup services are included in applicable subscription tiers. Licensing and plugin costs for accounting software are not included unless expressly specified in the applicable tier description.

3.9 Free Systems Audit

A complimentary, no-commitment 30-minute systems audit is available to prospective clients. The audit provides a systems health assessment, identification of priority improvements, and a general service roadmap. The audit does not constitute a service agreement and is subject to availability.

3.10 Service Modifications

Carefree Computing reserves the right to modify, update, enhance, or discontinue any Service or feature at any time, with reasonable advance notice to active clients where such changes materially affect service delivery. We will endeavor to provide at least thirty (30) days notice of any material discontinuation.

4. User Obligations

As a condition of using the Services, you agree to:

Provide accurate, current, and complete information during registration, onboarding, and throughout the term of your service agreement.
Maintain the security of your account credentials and notify Carefree Computing immediately of any known or suspected unauthorized access to your account.
Use the Services only for lawful business purposes and in compliance with all applicable local, national, and international laws and regulations.
Cooperate with Carefree Computing's reasonable technical and support requirements, including providing timely access to systems, authorizations, and information required to deploy and maintain your infrastructure.
Ensure that all Users authorized under your account comply with these Terms.
Not engage in any activity that disrupts, degrades, or impairs the availability or performance of the Services for other clients.
Promptly report any security vulnerabilities, breaches, or incidents affecting your deployed infrastructure to Carefree Computing.

5. Account Terms

5.1 Account Registration

To access the Services, you must provide complete and accurate registration information. You are responsible for all activities conducted under your account. Carefree Computing reserves the right to refuse registration or cancel accounts at its discretion.

5.2 User Accounts and Access

The number of Users authorized under your account is governed by your subscription tier. Additional Users may be added at the applicable per-user fees. You are solely responsible for managing User access, including promptly revoking access for departing personnel.

5.3 Account Security

You are responsible for maintaining adequate security over your account credentials, including strong passwords and two-factor authentication where available. Carefree Computing is not liable for any loss or damage arising from your failure to secure your account.

5.4 Account Sharing

Account credentials may not be shared among multiple individuals. Each User must have their own authorized login credentials as specified in your subscription terms.

6. Payment and Billing Terms

6.1 Subscription Fees

Subscription fees are charged on a monthly or annual basis as selected at time of purchase. Current pricing is published at www.carefreecomputing.com/pricing/. All prices are in United States Dollars (USD) unless otherwise agreed in writing.

6.2 Setup Fee

A one-time, non-refundable Setup Fee of $400.00 USD is required for all new service deployments. This fee covers initial infrastructure provisioning, configuration, and deployment.

6.3 Minimum Commitment

All subscription packages require a minimum twelve (12)-month commitment. By purchasing any subscription package, you agree to pay the full subscription fees for a minimum of twelve (12) months, regardless of early termination.

6.4 Monthly vs. Annual Payment

Clients who elect monthly payment (rather than annual prepayment) are subject to the applicable monthly surcharge as described in the pricing schedule. Annual prepayment may result in a lower effective monthly rate.

6.5 Payment Methods and Processing

Payments are processed through our designated third-party payment processor. By providing payment information, you authorize Carefree Computing (or its payment processor) to charge the applicable fees on the agreed billing cycle. You are responsible for keeping your payment information current and accurate.

6.6 Late Payments

Invoices not paid by the due date are subject to suspension of Services. Carefree Computing reserves the right to charge interest on overdue balances at the rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date until paid.

6.7 Taxes

All fees are exclusive of applicable taxes, levies, or duties imposed by governmental authorities. You are responsible for paying all applicable taxes associated with your purchase of Services. If Carefree Computing is required to collect taxes on your behalf, they will be added to your invoice.

6.8 Price Changes

Carefree Computing reserves the right to adjust subscription pricing with at least thirty (30) days written notice prior to your next billing cycle. Continued use of the Services following the notice period constitutes acceptance of the new pricing.

6.9 Refund Policy

Setup Fees are non-refundable under all circumstances. Subscription fees paid for an active month are non-refundable. Where Carefree Computing terminates your account without cause, we will provide a pro-rated refund of prepaid annual fees for unused complete months. No refunds are issued for minimum commitment periods upon early termination by the Client.

6.10 Custom Packages

Custom service packages are available and are subject to mutually agreed pricing and terms as outlined in a separately executed Order Form or service agreement.

7. Intellectual Property

7.1 Carefree Computing IP

All right, title, and interest in and to the Services, Site, proprietary configurations, custom automation systems, workflow designs, deployment scripts, training data, documentation, and all related intellectual property rights are and shall remain the exclusive property of Carefree Computing or its licensors. Nothing in these Terms transfers ownership of any Carefree Computing intellectual property to you.

7.2 Open-Source Software

Our Services incorporate open-source software components including RustDesk, Wazuh, Nextcloud, Open WebUI, and SearxNG. Your use of these components is subject to their respective open-source licenses. Carefree Computing's proprietary configuration, management, and integration work layered on top of these components remains our intellectual property.

7.3 Client Data Ownership

You retain full ownership of all Client Data you submit, upload, or generate through the Services. You grant Carefree Computing a limited, non-exclusive, royalty-free license to access, process, and use Client Data solely for the purpose of delivering, maintaining, and improving the Services under your account. We do not claim ownership of your data.

7.4 Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Services, you grant Carefree Computing a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without attribution or compensation to you.

7.5 Restrictions

You may not copy, reverse engineer, decompile, disassemble, modify, create derivative works from, or otherwise attempt to discover the source code of any proprietary Carefree Computing software, systems, or configurations, except to the extent permitted by applicable law.

8. Acceptable Use Policy

You agree to use the Services only for lawful, legitimate business purposes consistent with these Terms. Acceptable use includes but is not limited to: remote management of your own authorized devices; monitoring your own network and endpoints for security threats; managing customer and business data within your private CRM; using the Private AI Assistant for internal business productivity; searching the web using SearxNG for research and business intelligence; deploying chatbots to serve your own customers; and building and maintaining your business website.

9. Prohibited Conduct

You may not use the Services for any of the following purposes:

Engaging in any illegal activity or facilitating the violation of any applicable law or regulation, including data protection laws.
Transmitting, storing, or processing content that is defamatory, harassing, abusive, threatening, obscene, or otherwise objectionable.
Attempting to gain unauthorized access to other users' accounts, third-party systems, or any network or infrastructure not authorized for your use.
Introducing viruses, malware, ransomware, spyware, or any harmful or malicious code into the Platform or any connected systems.
Using the Multilingual Chatbot, AI tools, or other Services to generate spam, phishing communications, fraudulent content, or deceptive materials.
Processing protected health information (PHI) through any standard Carefree Computing service tier without a separately executed HIPAA-compliant infrastructure agreement (see Section 17).
Reselling, sublicensing, or redistributing access to the Services without Carefree Computing's prior written consent.
Using the Services to conduct denial-of-service attacks, penetration testing, or security research against systems you are not authorized to test.
Circumventing, disabling, or interfering with any security feature of the Platform.
Using the AI features to generate content that infringes third-party intellectual property rights, facilitates harassment, or violates any applicable law.
Collecting, scraping, or harvesting personal data from third parties through the Services in violation of applicable privacy laws.
Impersonating any person, company, or entity, or misrepresenting your affiliation with any person or organization.

Carefree Computing reserves the right to investigate and take appropriate action in response to suspected prohibited conduct, including immediate suspension or termination of access to the Services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE,' WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CAREFREE COMPUTING EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, CAREFREE COMPUTING DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE; (C) ANY ERRORS IN THE SERVICES WILL BE CORRECTED; (D) THE RESULTS OBTAINED FROM USING THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE; OR (E) THE SERVICES ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT PERMIT EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAREFREE COMPUTING, ITS PRINCIPALS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
BUSINESS INTERRUPTION OR SYSTEM DOWNTIME;
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
ANY MATTER BEYOND CAREFREE COMPUTING'S REASONABLE CONTROL;

ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE), EVEN IF CAREFREE COMPUTING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, CAREFREE COMPUTING'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO CAREFREE COMPUTING IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Carefree Computing and its principals, officers, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of or access to the Services in violation of these Terms.
Your violation of any applicable law or regulation, including data protection laws.
Any content or data you submit, upload, or process through the Services.
Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights.
Any dispute or claim arising between you and any third party in connection with the Services.
Your unauthorized processing of PHI through standard service tiers without a HIPAA-compliant infrastructure agreement.

Carefree Computing reserves the right to assume exclusive control over the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

13. Termination

13.1 Termination by Client

You may terminate your subscription at any time by providing written notice to Carefree Computing at info@carefreecomputing.com. Termination does not relieve you of the obligation to pay all fees owed for the remainder of your minimum twelve (12)-month commitment period, as well as any outstanding balances.

13.2 Termination by Carefree Computing for Cause

Carefree Computing may terminate your access to the Services immediately and without prior notice if: (a) you breach any material term of these Terms and fail to cure such breach within ten (10) days of written notice; (b) you engage in prohibited conduct under Section 9; (c) you fail to pay fees when due; or (d) your account becomes subject to legal proceedings, insolvency, or bankruptcy.

13.3 Termination by Carefree Computing Without Cause

Carefree Computing may terminate your subscription without cause upon thirty (30) days written notice. In such event, we will provide a pro-rated refund of any prepaid subscription fees for unused complete months beyond the termination date.

13.4 Effect of Termination

Upon termination for any reason: (a) your right to access and use the Services immediately ceases; (b) Carefree Computing will decommission your infrastructure environment; (c) you are responsible for exporting or retrieving your Client Data prior to termination; (d) Carefree Computing will delete Client Data within a commercially reasonable timeframe; and (e) all provisions that by their nature should survive termination shall survive, including payment obligations, IP rights, disclaimers, limitation of liability, and indemnification.

13.5 Data Export

Upon your written request submitted prior to your termination date, Carefree Computing will make reasonable efforts to assist you in exporting your Client Data in a standard, machine-readable format. Data export assistance beyond standard tooling may be subject to additional professional services fees.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the state in which Carefree Computing is principally located, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute informally by contacting Carefree Computing at info@carefreecomputing.com. The parties will endeavor to resolve the dispute within thirty (30) days.

14.3 Arbitration

If the parties are unable to resolve a dispute informally, any claim, dispute, or controversy arising out of or relating to these Terms or the Services shall be submitted to binding arbitration in accordance with the rules of a mutually agreed arbitration body. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding. This provision does not apply to claims for injunctive relief or protection of intellectual property rights.

14.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

15. Confidentiality

Each party agrees to maintain the confidentiality of the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Neither party shall disclose Confidential Information to third parties without prior written consent, except to service providers bound by equivalent confidentiality obligations, or as required by applicable law.

Confidential Information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without reference to the Confidential Information; or (d) is disclosed with prior written consent of the disclosing party.

16. Modifications to These Terms

Carefree Computing reserves the right to modify these Terms at any time. When we make material changes, we will:

Update the 'Last Updated' date at the top of these Terms.
Post the revised Terms on our Site at www.carefreecomputing.com.
Where required by applicable law or where we deem it appropriate, notify active clients by email at least thirty (30) days before the changes take effect.

Your continued access to or use of the Services after the effective date of the revised Terms constitutes your acceptance of such modifications. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Services and terminate your account in accordance with Section 13.

17. HIPAA Compliance Notice

CRITICAL NOTICE — HEALTHCARE PROVIDERS AND COVERED ENTITIES MUST READ THIS SECTION CAREFULLY

17.1 Standard Services Are NOT HIPAA-Compliant by Default

The standard Services offered by Carefree Computing through its Budget, Expanding, Deluxe, and Full Service subscription tiers are NOT configured, designed, certified, or warranted to comply with HIPAA in their default configurations. This includes the Multilingual Chatbot, AI Automation services, Private AI Assistant, Remote IT Management, Real-Time Security Monitoring, Nextcloud CRM, SearxNG Private Search, and Custom Web Design services.

17.2 Prohibited Use of PHI on Standard Platform

Healthcare providers, covered entities, business associates, and any other person or organization that creates, receives, maintains, or transmits protected health information (PHI) are expressly PROHIBITED from processing, storing, transmitting, or otherwise handling PHI through any standard Carefree Computing service tier unless and until a separate, dedicated HIPAA-compliant infrastructure agreement — including a fully executed Business Associate Agreement (BAA) — has been established with Carefree Computing in writing.

17.3 Dedicated HIPAA-Compliant Infrastructure Available

Carefree Computing offers a separately contracted, dedicated HIPAA-compliant infrastructure solution for healthcare organizations with PHI processing requirements. This includes execution of a Business Associate Agreement, deployment on dedicated non-shared infrastructure, HIPAA-required technical safeguards, breach notification procedures, and risk assessment processes. These features are NOT included in any standard subscription tier.

17.4 No HIPAA Assurances on Standard Plans

Carefree Computing makes NO representation, warranty, covenant, or assurance — express or implied — that its standard Services satisfy any HIPAA requirement. No marketing material, sales communication, service description, or pricing page should be interpreted as a representation that the standard platform is HIPAA-compliant.

17.5 Client Responsibility

Any client in a healthcare-adjacent industry, or any client whose operations involve PHI, bears sole and exclusive responsibility for: (a) determining whether their use of Carefree Computing's standard Services involves PHI; (b) refraining from processing PHI through standard service tiers unless a dedicated HIPAA-compliant infrastructure agreement is in place; and (c) complying with all applicable HIPAA requirements independently of the services provided by Carefree Computing.

17.6 Indemnification for Unauthorized PHI Processing

Any Client that processes PHI through Carefree Computing's standard Services in violation of this Section 17 agrees to indemnify, defend, and hold harmless Carefree Computing from and against any and all regulatory penalties, fines, enforcement actions, third-party claims, legal fees, and damages arising from such unauthorized processing.

18. Force Majeure

Carefree Computing shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics or public health emergencies, war or terrorism, governmental orders or restrictions, labor disputes, internet or telecommunications outages, third-party platform failures, cyberattacks, or power failures.

19. Third-Party Services and Integrations

The Services may integrate with or depend upon third-party services, platforms, or APIs, including WhatsApp Business API, Instagram Messaging API, Facebook Messenger, Google Sheets, and payment processors. Carefree Computing is not responsible for the availability, accuracy, security, or practices of any third-party services. Your use of third-party services is subject to the terms and policies of those third parties.

20. Publicity

Unless you specifically request otherwise in writing, Carefree Computing reserves the right to identify you as a client and describe the general nature of services provided to you in our marketing materials, website, and case studies. We will not disclose confidential operational details without your written consent.

21. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any applicable Order Forms or written service agreements, constitute the entire agreement between you and Carefree Computing (Aivorys LLC) with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral. For the avoidance of doubt, any agreement, contract, or Order Form entered into with carefreecomputing.com or carefreecomputing.cloud is an agreement with Aivorys LLC as the single contracting entity, and all obligations and rights under such agreements are shared across both divisions.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.

22. Waiver

No failure or delay by Carefree Computing in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any right or remedy in a particular instance does not constitute a general waiver of that right or remedy in other or subsequent instances.

23. Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder, by operation of law or otherwise, without Carefree Computing's prior written consent. Carefree Computing may freely assign these Terms in connection with a merger, acquisition, sale of assets, or similar transaction. Any purported assignment in violation of this provision is void.
